1. Acceptance of Terms
These Terms of Use govern your access to and use of the services provided by the operators of Ginivo ("we," "us," or "our"). By accessing the website or using our AI-driven agent services (the "Services"), you agree to be bound by these terms.
2. Description of Service
Ginivo provides an AI-based agent designed to interact with third-party platforms (e.g., Instagram, WhatsApp Business) to respond to inquiries and schedule meetings. The Service is currently provided in a "Beta" or "Design Partner" phase.
3. AI Disclaimer & Human-in-the-Loop Requirement
You acknowledge that the Service utilizes Artificial Intelligence (AI). AI output may be inaccurate, incomplete, or contain errors. The User is strictly required to monitor the AI agent's interactions on a regular basis. Any action taken or communication sent by the agent that is not corrected by the User shall be deemed as expressly approved by the User.
4. User Responsibility & Indemnification
By connecting your social media or business accounts, you grant us permission to act on your behalf. You assume full legal and financial responsibility for any communication, commitment, or action taken by the AI agent. You agree to indemnify and hold the operators of Ginivo harmless from any claims, damages, or financial losses arising from the agent's activity.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATORS OF GINIVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR REPUTATION, ARISING OUT OF THE USE OF THE SERVICE. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
6. Intellectual Property
All rights, titles, and interests in the Service, including algorithms and software, remain the exclusive property of Ginivo's operators.
7. Governing Law
These terms shall be governed by the laws of the State of Israel. Any disputes shall be subject to the exclusive jurisdiction of the courts in Tel Aviv.
